1. Acceptance of These Terms
These Terms of Service (“Terms”) form a binding agreement between you and Tarnow Chu Institute LLC, a Florida limited liability company (“Tarnow Chu Institute,” “TCI,” “we,” “us,” or “our”) governing your access to and use of our website at tarnowchuinstitute.com, our learning platform, our online and in-person courses and workshops, our community features, and related services (the “Services”). By creating an account, purchasing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility and Accounts
2.1 Eligibility. You must be at least 18 years old and able to form a binding contract. The Services are intended primarily for dental and healthcare professionals and others engaged in continuing education.
2.2 Registration. You agree to provide accurate, current, and complete information and to keep it updated. Credential information you provide (e.g., license number) must be true and your own.
2.3 Account security. You are responsible for safeguarding your credentials and for all activity under your account. Accounts are personal to you and may not be shared, resold, or transferred. Notify us immediately of any unauthorized use.
3. Description of the Services
We provide continuing education and professional development through online courses, downloadable and streamed materials, live and recorded events, in-person workshops, community and discussion features, and — where applicable — the issuance of CE credit and certificates of completion. We may add, modify, or discontinue features at any time.
4. Subscriptions, Fees, Billing, and Auto-Renewal
4.1 Fees. Prices for courses, memberships, subscriptions, and events are shown at the point of purchase. You authorize us and our payment processor to charge your selected payment method for all applicable fees and taxes.
4.2 Subscriptions and automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. By subscribing, you authorize recurring charges. We will provide renewal and pricing notices as required by applicable law.
4.3 Cancellation of renewal. You may cancel renewal at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide pro-rata refunds for the current billing period.
4.4 Price changes. We may change fees prospectively. Changes apply to the next billing period after notice.
4.5 Failed payments. If a charge fails, we may suspend access until payment is resolved.
5. Refunds
5.1 Scheduled courses and workshops. For any course, cohort, or workshop that has a scheduled start date — whether delivered in person or online — you are entitled to a full refund if you cancel more than twenty-one (21) days before the course start date. Cancellations made twenty-one (21) days or fewer before the start date are not eligible for a refund.
5.2 Digital memberships and subscriptions. Digital memberships are sold on a subscription basis (for example, an annual plan with unlimited access to included content). You may request a full refund of your initial membership purchase within fourteen (14) days of that purchase, provided that during that period you have not completed a course and no CE certificate has been issued to you. After the 14-day window, membership fees for the then-current term are non-refundable. Renewals are governed by Section 4: you may cancel renewal at any time before it occurs, cancellation stops future charges, and you retain access through the end of the paid term, but we do not refund the current term.
5.3 How to request. To request a refund, contact [email protected]. Approved refunds are issued to the original payment method.
5.4 Changes by TCI. If TCI reschedules, relocates, or cancels a course or event, Section 6 applies.
6. Live and In-Person Events
6.1 Registration and capacity. Event registration is confirmed upon payment and subject to capacity. We may reschedule, relocate, or cancel an event; if we cancel, you will receive a refund or credit as described at registration.
6.2 Cancellation and substitution by you. Attendee cancellations follow the refund policy in Section 5.1: a full refund if you cancel more than twenty-one (21) days before the event start date, and no refund if you cancel within twenty-one (21) days of the start date. You may transfer your registration to another eligible attendee at any time before the event, at no charge, by notifying us at [email protected]; a substitution does not extend any refund or cancellation deadline.
6.3 Travel costs. We are not responsible for travel, lodging, or other costs you incur in connection with an event.
6.4 Conduct. Attendees must comply with venue rules and our code of conduct. We may remove anyone whose conduct is disruptive, unsafe, or unlawful, without refund.
6.5 Assumption of risk and release. To the fullest extent permitted by law, you attend in-person events at your own risk and release TCI from claims arising out of attendance, except for claims that cannot be waived by law.
6.6 Media release. Events may be photographed or recorded. By attending, you consent to the use of your likeness in TCI materials unless you opt out in writing in advance.
7. Continuing Education Credit and Certificates
Continuing education (CE) credit for both in-person and online courses is issued and administered by independent third-party CE providers that TCI contracts with; TCI does not itself accredit or issue CE credit. Where CE credit is offered, it is awarded only upon satisfaction of the stated completion and assessment requirements, and TCI shares your completion and credential information with the applicable third-party provider so that credit can be issued and, where required, reported (see our Privacy Policy). TCI does not control, and is not responsible for, a third-party provider’s accreditation status, credit calculation, reporting, or recordkeeping. We make no guarantee that any credit will be accepted by your licensing board, employer, or specialty organization, and it is your responsibility to confirm that a course satisfies your jurisdiction’s requirements before relying on it. We are not responsible for credit denied due to inaccurate credential information you provide.
8. Educational Content — No Professional Advice
All content is provided for professional educational purposes only. It is not clinical, medical, dental, legal, financial, or other professional advice, and it does not establish a provider-patient or other professional relationship. You are solely responsible for exercising your own independent professional judgment, complying with applicable standards of care and law, and determining the appropriateness of any technique or product for your patients. TCI is not liable for clinical decisions or outcomes.
9. Intellectual Property and License to Use
9.1 Ownership. The Services and all content we provide — including courses, videos, text, graphics, assessments, software, trademarks, and the “Tarnow Chu Institute” name and logos — are owned by TCI or its licensors and protected by intellectual property laws.
9.2 Limited license. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the content for your own personal, non-commercial professional education.
9.3 Restrictions. You may not copy, download (except where expressly enabled), record, reproduce, republish, distribute, sublicense, sell, or create derivative works from the content; share your access; or use the content to develop a competing offering. All rights not expressly granted are reserved.
10. User Content and Community
10.1 Your content. You retain ownership of content you post (questions, comments, files). You grant TCI a worldwide, non-exclusive, royalty-free license to host, display, and use such content to operate and promote the Services and community.
10.2 Responsibility. You are responsible for your content and represent that you have the rights to post it and that it does not violate any law or third-party right. Do not post identifiable patient information.
10.3 Moderation. We may review, moderate, or remove content and suspend accounts that violate these Terms, without obligation to do so.
11. Prohibited Uses
You agree not to:
- Violate any law or third-party right, or infringe intellectual property;
- Share, resell, or provide unauthorized access to the Services or content;
- Upload identifiable patient information or other protected data without authorization;
- Post unlawful, harassing, defamatory, or misleading content;
- Introduce malware, scrape, or attempt to disrupt or gain unauthorized access to the Services;
- Misrepresent your identity or credentials, or falsify CE records;
- Use the Services to build or train a competing product or model.
12. Third-Party Services and Availability
The Services are delivered using third-party platforms and providers (including our learning platform and payment processor). We are not responsible for third-party services, and the Services may be unavailable due to maintenance, provider outages, or factors beyond our control. We do not guarantee uninterrupted or error-free operation.
13. Copyright Complaints (DMCA)
If you believe content on the Services infringes your copyright, send a notice with the information required by the DMCA to our designated agent at [email protected]. We respond to valid notices and may remove allegedly infringing content and terminate repeat infringers.
14. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT CE CREDIT WILL BE ACCEPTED BY ANY BOARD OR ORGANIZATION.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TCI AND ITS OWNERS, OFFICERS, INSTRUCTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
16. Indemnification
You agree to indemnify and hold harmless TCI and its owners, officers, instructors, and agents from any claims, damages, liabilities, and reasonable legal fees arising out of your use of the Services, your content, your violation of these Terms, or your violation of any law or third-party right.
17. Term and Termination
These Terms apply while you use the Services. We may suspend or terminate your access at any time for violation of these Terms or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) survive.
18. Governing Law and Dispute Resolution
18.1 Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules.
18.2 Binding individual arbitration. Except as provided in Section 18.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules], rather than in court. The arbitration will be seated in Collier County, Florida, or conducted remotely, and judgment on the award may be entered in any court of competent jurisdiction.
18.3 Class-action and jury waiver. You and TCI agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You and TCI each waive any right to a jury trial.
18.4 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect intellectual property or confidential information.
18.5 Opt-out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by emailing [email protected] with your name and account email. Opting out does not affect the other provisions of this Section.
19. Changes to These Terms
We may update these Terms. We will post the updated version with a new effective date and, for material changes, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
20. General Provisions
20.1 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and TCI regarding the Services and supersede prior agreements.
20.2 Severability. If any provision is unenforceable, the remaining provisions remain in effect.
20.3 No waiver. Our failure to enforce a provision is not a waiver.
20.4 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
20.5 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
20.6 Notices. We may provide notices by email or by posting on the Services.
